1. Acceptance of Terms

Welcome to Onde. The planwithonde.com website and all related services (collectively, the “Service”) are operated by Onde, Inc., a Delaware corporation (“Onde,” “we,” “us,” “our,” or the “Company”). These Terms and Conditions (“Terms”) govern your access to and use of the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of them, you do not have permission to access the Service.

2. Description of Service

Onde provides a platform to discover venues and plan events, including event creation and planning tools, venue discovery and recommendations, and related communication features.

3. Eligibility and Account Registration

3.1 Age. You must be at least 18 years old to use the Service. If you are between 13 and 18, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Accounts. To access certain features you must create an account. You agree to provide accurate, current, and complete information; keep it updated; keep your login credentials secure; accept responsibility for activity under your account; and notify us promptly of any unauthorized use.

3.3 Termination. We may suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activity.

4. User Conduct and Prohibited Uses

You agree not to use the Service to: violate any law or regulation; infringe intellectual-property rights; upload viruses or harmful code; harass or harm other users; post false or misleading content; spam or advertise without authorization; impersonate any person or entity; scrape or harvest data without permission; interfere with the Service; attempt unauthorized access; or use the Service for commercial purposes without our written consent.

5. User Content

5.1 Ownership. You retain ownership of content you submit (“User Content”). By posting it, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform it in connection with the Service.

5.2 Responsibility. You are responsible for your User Content. You represent that you own or have the rights to it, that it does not infringe third-party rights, and that it complies with these Terms and applicable law.

5.3 Moderation. We may, but are not obligated to, monitor, review, and remove User Content that violates these Terms or is otherwise objectionable.

6. Intellectual Property

6.1 The Service and its original content (excluding User Content), features, and functionality are the exclusive property of Onde and its licensors, protected by copyright, trademark, and other laws.

6.2 Our trademarks and trade dress may not be used without our prior written permission.

6.3 We respond to valid notices of alleged copyright infringement. If you believe content on the Service infringes your copyright, send a written notice to hello@planwithonde.com identifying the copyrighted work, the allegedly infringing material and its location on the Service, your contact details, and a statement of your good-faith belief that the use is not authorized.

7. Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, incorporated by reference. By using the Service you consent to the data practices described there.

8. Third-Party Services and Links

The Service may integrate with or link to third-party websites and services. We are not responsible for their content, policies, or practices. When you book or participate in events or venues through the Service, you may enter separate agreements with those providers; we are not a party to those transactions.

9. Payment Terms

Where payment applies: fees are stated in the applicable currency and are non-refundable unless stated otherwise; payments are handled by third-party processors; and you are responsible for applicable taxes.

10. Disclaimers and Limitation of Liability

10.1 THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 We do not guarantee the Service will be uninterrupted, secure, or error-free.

10.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL.

10.4 We are not responsible for the conduct of users or providers, online or offline. You assume the risk of interacting with them.

11. Indemnification

You agree to defend, indemnify, and hold harmless Onde and its officers, directors, employees, and agents from claims, damages, losses, liabilities, and costs arising from your violation of these Terms, your violation of third-party rights, your User Content, or your use of the Service.

12. Dispute Resolution

12.1 Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

12.2 Dispute process. Before initiating arbitration, you and Onde agree to first attempt to resolve any dispute informally by contacting the other party in writing and allowing 30 days to reach a resolution. If the dispute is not resolved, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, United States, and may be conducted by videoconference where the applicable rules permit. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

12.3 Class-action waiver. To the extent permitted by applicable law, you and Onde agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class proceeding.

13. Modifications to Terms

We may modify these Terms. We will post the updated Terms and update the “Last updated” date. Continued use after changes constitutes acceptance.

14. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account for any reason, including breach of these Terms. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.

15. General Provisions

These Terms are the entire agreement between you and Onde regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign ours. We are not liable for delays or failures caused by events beyond our reasonable control.
